Nothing in these Terms transfers ownership of our intellectual property.

7. Software Licence

Subject to these Terms, NexaLogic grants you a limited, non-exclusive, non-transferable and revocable licence to use our services for their intended purpose.

You may not:

copy software;
modify software;
distribute software;
sublicense software;
create derivative works;
remove copyright notices.

8. Fees and Payments

Where services require payment:

prices are displayed before purchase;
subscriptions renew according to the selected plan unless cancelled;
payment must be made using approved payment methods;
unpaid subscriptions may be suspended.

Applicable taxes may be charged where required by law.

9. Subscription Cancellation

Customers may cancel subscriptions in accordance with the applicable subscription plan.

Cancellation does not automatically entitle the customer to a refund for services already provided unless required by law.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, NexaLogic Technologies Limited disclaims all warranties, whether express, implied or statutory, including but not limited to:

uninterrupted availability;

non-infringement.

We do not guarantee that our services will meet every customer's individual requirements.

12. Limitation of Liability

To the fullest extent permitted by applicable law, NexaLogic Technologies Limited shall not be liable for any:

indirect damages;
consequential damages;
incidental damages;
punitive damages;
loss of profits;• loss of business opportunities;
loss of revenue;
loss of goodwill;
loss of data;
interruption of business.

Our total liability arising from any claim relating to our services shall not exceed the total amount paid by the customer for the relevant service during the twelve (12) months preceding the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

13. No Financial, Legal or Tax Advice

NexaLogic Technologies Limited develops software, automation solutions and digital platforms.

Unless explicitly agreed in writing, nothing provided through our website, software, training materials or customer support constitutes:

financial advice;
investment advice;
legal advice;
tax advice;
accounting advice;
regulated professional advice.

Users remain solely responsible for their own decisions and should consult appropriately qualified professionals before acting on any information.

14. Third-Party Services

Our services may integrate with or link to third-party products and services.

Examples include:

payment providers;
cloud hosting providers;
automation platforms;
CRM systems;

We do not control these third-party services and are not responsible for:

You agree to indemnify and hold harmless NexaLogic Technologies Limited, its directors, officers, employees, contractors and affiliates from any claims, liabilities, damages, losses,bcosts and expenses arising from:

your unlawful conduct.

17. Suspension and Termination

We reserve the right to suspend or terminate access to our services immediately if:

these Terms are violated;
fraudulent activity is suspected;
unlawful conduct is detected;
our systems or users are placed at risk;
payment obligations remain outstanding.

Termination does not affect any rights or obligations that arose prior to termination.

18. Force Majeure

NexaLogic Technologies Limited shall not be liable for any failure or delay in performing its

obligations where such failure results from events beyond our reasonable control, including

but not limited to:

natural disasters;
war;
terrorism;
cyberattacks;
power failures;
internet outages;
governmental actions;
pandemics;
labour disputes.

19. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

Where mandatory consumer protection laws apply in another jurisdiction, those mandatory rights remain unaffected.

20. Dispute Resolution

The parties shall first attempt to resolve any dispute through good-faith negotiations.

If no amicable resolution can be reached, disputes shall be submitted to the competent courts of Hong Kong unless mandatory law requires otherwise.

21. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between NexaLogic Technologies Limited and the user concerning the use of our services.
